Terms of Service

Please read these Terms of Service ("Terms", "Agreement") carefully before using the BygAgent application and website (the "Service") operated by BygAgent ("us", "we", "our").

By creating an account, accepting an invitation, or accessing the Service, you represent that you are acting in a professional business capacity and agree to be bound by these Terms.

1. B2B Service and Eligibility

BygAgent is a business-to-business (B2B) software-as-a-service (SaaS) platform designed for professional craftsmen, contractors, and construction businesses. By signing up, you confirm that you are registering on behalf of a registered business entity (e.g., holding a CVR number in Denmark or similar corporate registry) and that you are not using the Service as an individual consumer.

2. Account Registration and Security

To use the Service, you must provide accurate and complete registration details, including your company name, CVR/VAT number, email, and phone. You are solely responsible for maintaining the confidentiality of your credentials (including API tokens and passwords) and for all activities that occur under your account or team invitation.

3. AI-Generated Output & User Responsibility

CRITICAL AI NOTICE: Verify All Quotes

BygAgent uses advanced artificial intelligence (including OpenAI Whisper and GPT-4o) to transcribe voice recordings and parse details into structured quote items. AI is not infallible and may misinterpret words, fail to parse items, suggest incorrect prices/units, or produce calculation errors. You are solely and fully responsible for reviewing, correcting, and verifying the accuracy of all quote details, item descriptions, quantities, and pricing before sending any offer to a client. We accept no liability for financial losses or dispute costs resulting from unverified AI outputs.

4. Client Communications and Contract Formation

BygAgent allows you to share digital quotes with your clients and receive acceptances or rejections.

  • No Agency: BygAgent is a software tool only. We are not a party to any contract, deal, or transaction made between you and your customers.
  • Legal Enforcement: While we capture and log legal signatures (including timestamp, IP address, and browser agent) to record agreement activity, we make no representations or warranties regarding the legal enforceability or validity of contracts formed through our Service.
  • Local Laws: You are responsible for ensuring that your terms (such as attaching AB 18 or AB-Forbruger) and prices comply with local consumer protection and building laws.

5. Subscriptions, Trials, and Billing

We offer new users a 14-day free trial. If you do not subscribe to a paid plan before the trial ends, your access to the Service may be restricted. Subscriptions are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time; however, cancellations take effect at the end of the current billing cycle, and no refunds will be provided for partial periods.

Abuse and Fair Use Policy: Because voice transcription and LLM processing incur real infrastructure costs, we monitor usage patterns to ensure fair access. We reserve the right to limit, suspend, or terminate your access to the Service or close your account immediately and without prior notice if we detect usage that indicates abuse, automated scraping, or excessive query volume that threatens system stability or economics.

6. Intellectual Property & License

We own all rights, title, and interest in and to the BygAgent software, brand, design, and website. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for your internal business operations. You retain ownership of all content, recordings, transcripts, and customer lists you submit to the Service.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall BygAgent, its developers, or its operators be liable for any indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, loss of profits, loss of data, business interruption, or costs of procuring substitute services) arising out of or in connection with the use or inability to use the Service, even if advised of the possibility of such damages. Our total liability for any claim under these Terms shall not exceed the amount paid by you to us in the 12 months preceding the claim.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Denmark.
